ScriptAce — Terms of Service

Acceptance of Terms

By accessing or using ScriptAce at any URL operated by MKTechs Ltd (collectively, "the Service"), you confirm that you are at least 13 years old (or 16 in the EU), have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy.

If you are using ScriptAce on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

Important
If you do not agree to these Terms, you must not use ScriptAce. Continued use
                        of the Service after any update to these Terms constitutes your acceptance of the revised Terms.

The Service

ScriptAce provides cloud-based scriptwriting tools for screenplays, podcasts, video scripts, short-form content, shooting scripts, stage plays, and novels. Features vary by subscription plan.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will give at least 30 days' notice before removing a feature that paying subscribers materially rely on.

Accounts & Registration

To access ScriptAce, you must create an account using a valid email address or an OAuth provider (Google). You are responsible for:

Maintaining the confidentiality of your account credentials and not sharing your password with any third party.

All activity that occurs under your account, whether authorised by you or not.

Promptly notifying us at security@scriptace.app if you suspect unauthorised access to your account.

Providing accurate and up-to-date registration information.

You may not create accounts using automated means or for purposes of abuse. We reserve the right to suspend or delete accounts that violate these Terms.

Subscriptions & Billing

Paid subscriptions are billed on a monthly or annual basis via Stripe. All prices are displayed in USD/GBP as applicable and are exclusive of any applicable taxes.

Auto-renewal. Subscriptions automatically renew at the end of each billing period. You may cancel auto-renewal at any time from your Account Settings before the renewal date.

Refunds. We offer a 7-day money-back guarantee on new paid subscriptions. After 7 days, subscription fees are non-refundable except where required by applicable law.

Plan changes. Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle.

Failed payments. If a payment fails, we will attempt to retry up to 3 times over 7 days. If payment cannot be collected, your account will be downgraded to the Free plan. Your scripts will be retained and accessible.

Price changes. We will provide at least 30 days' notice before increasing prices for existing subscribers.

Your Content

You own your scripts. All text, structure, notes, and creative content you write in ScriptAce ("User Content") remains your intellectual property. By using ScriptAce, you grant MKTechs Ltd a limited, non-exclusive, worldwide, royalty-free licence to host, store, and display your User Content solely for the purpose of providing the Service to you.

This licence terminates when you delete your content or account. We do not use your User Content for any purpose other than providing the Service, including training AI models or sharing with third parties.

You represent and warrant that:

You own or have the necessary rights to all User Content you submit.

Your User Content does not infringe the intellectual property, privacy, or other rights of any third party.

Your User Content does not violate any applicable law.

Acceptable Use

You agree not to use ScriptAce to:

Create, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or promotes violence or discrimination.

Infringe any intellectual property rights, including uploading content you do not have rights to.

Attempt to gain unauthorised access to any part of the Service, other user accounts, or our infrastructure.

Scrape, crawl, or harvest data from ScriptAce using automated means without prior written consent.

Introduce viruses, malware, or other harmful code into the Service.

Circumvent, disable, or interfere with security features of the Service.

Use the Service for any commercial purposes not expressly permitted, including reselling access.

Create accounts in bulk or use the Service in a manner that imposes an unreasonable load on our infrastructure.

Enforcement
Violations of this section may result in immediate suspension or permanent
                        termination of your account without refund, and may be referred to law enforcement where
                        applicable.

Intellectual Property

ScriptAce and all its components — including the software, user interface, design, block system, templates, trademarks, and logos — are owned by or licensed to MKTechs Ltd and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal or professional scriptwriting purposes. This licence does not include the right to copy, modify, distribute, sell, or create derivative works of the ScriptAce platform itself.

The ScriptAce name, logo, and taglines are trademarks of MKTechs Ltd. You may not use them without our prior written consent.

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that any specific feature will remain available indefinitely.

ScriptAce includes AI-powered analytics features (Hook Strength, Virality Score, Retention Simulation). These are estimates only and are not a guarantee of any specific performance outcome for your content on any platform.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MKTECHS LTD AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.

Termination

By you. You may cancel your account at any time from Settings → Account → Delete Account. Upon deletion, your scripts will be retained for 90 days (for recovery purposes) and then permanently deleted.

By us. We may suspend or terminate your account if:

You materially breach these Terms and fail to remedy the breach within 14 days of written notice.

You engage in conduct that we reasonably believe poses a risk to the Service, other users, or third parties.

We are required to do so by law or a competent authority.

You have not logged in for more than 24 months on a Free plan (with 30 days' prior email notice).

Upon termination by us without cause, we will provide a pro-rata refund of any prepaid subscription fees.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, we encourage you to contact us at legal@scriptace.app to attempt to resolve disputes informally. We will respond within 14 business days.

If you are a consumer resident in the EU, you may also have rights to alternative dispute resolution under applicable EU consumer protection laws.

Amendments & General

We may update these Terms periodically. Material changes will be communicated by email and in-app notice at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and MKTechs Ltd regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

No Waiver. Failure by either party to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

Assignment. You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
